D-19 Proposed By-Laws

Sorry to take so long to get back to you, but I have been occupied with  pop-up home and boat maintenance projects. Our Florida Keys weather has begun to cool somewhat, and working outside with the daily 88 degrees and 80% humidity is difficult. I was painting outdoors yesterday.

 

I regret to say that your draft bylaws are not approved. Perhaps because they seem a mix of the last three model bylaws? My advice to all who ask, is to ignore current bylaws, open the latest model, fill in the blanks, and add only the few items as required by your squadron or district. When I updated my own squadron bylaws, it took me an hour, and I was done. Many topics do not rise to the level of bylaws and should be relegated to Standing Rules or some similar document. My squadron has Standing Rules, which are very useful. Since I can see items peculiar to the August 2012 district model bylaws in your submission, I compared yours to that one, even though it is very new.

 

The document uses “shall” and “will” from time to time, and they are all used correctly in the model. They have different meanings and you have consistently chosen the wrong one. “Shall” means that you must do something, and “Will” means that you can expect info to be provided or someone else will do it. Please correct throughout.

 

1.     Article 2... Remove “Generally”, it is used in the next line.

2.     Section 2.1.1...Remove last sentence. Redundant.

3.     Section 2.1.3...Remove extra “appointed or,” in last line.

4.     Section 2.1.4 and 2.1.10...Stay with model. Keep it simple

2.1.0 is because we have 2.1.5 in our existing bylaws which we choose to keep?

 

5.     Section 2.6.3... added portions confusing and not needed. Stay with wording in Model.

6.     Section 2.6.6... Remove portion regarding national officers. This is “clutter” to them and not required. Rest is up to you.

7.     Section 2.9.1... Last line�“fewer” is correct as in the Model. “less” is incorrect.

8.     Section 2.9.3... Change “audit”to “financial review” as in the model. I suspect that the committee does not do a true “audit” as technically recognized.

9.     Section 2.10... Appointed and elected committees all mixed up throughout this section. Please follow the Model.

Have to disagree here we have chosen as a district to have the Chairman of the  Planning & the Finance Committees elected while the other members of the committees are appointed. We wish to keep it this way.. This was approved in Feb 2010. The changes in the wording here were from Stf/C Art Pickard for clarity

 

10.  Section 2.10.3...Why leave out bit regarding oversight of squadron Membership Committees, as in the Model?

11.  Section  4.2.1...Retain “voting” rather than “active” in first line, unless you wish to allow minors to be delegates.12.

12.  Section 5.8.1...Second line, change “active” to active 18 or over” or '’voting”.

13.  Section 7.2.1...Contains errors, words missing, and is confusing. Needs to follow the model.

14.  Section 8.7... I am not convinced that this degree of detail needs to be in the bylaws--clutters the document. Might be better in another document. If you want it here, OK. It may need some editing. I will not mess with it.
